I own 50% of a company with another person. His wife does the books (seemed ok since we had all been friends for 20 years). He has been invoicing our company via his consulting company. He has taken out more than his fair share. Recently I took some money �20k, representing some part of the share I should have had, - he took �128k, into his consultancy - I took �14k (plus the �20k). I parked the �20k with my solicitor, to be clean. He has threatened to wind the company up. The company is essentially profitable
with no debts. Monthly costs are �5.2k, monthly TO is �10.2k so GP is �5k.
Question: can one director wind up a company, or does it need permission for two, to appoint a receiver ?
Question: can he wind up the company when he clearly has a conflict of interest between his Consulting company he claims is a creditor, and his shared company with me ?
