Why would the modem ethernet/send/rcv LEDs flicker a lot when the PC is switched off?

they all do,nothing to worry about
Because your modem has it's own power supply presumably.
Usualy, because the modem is receiving it's timing from the on-line servers, which saves you having to check the time when PC is switched back on.
