Only if its legal so to do.
No, because a person cannot be forced to hold shares in a Company ... so they cannot be prohibited from transterring them.

Articles of Association frequently place restrictions on the way in which shares can be transferred ... the most common being that any Member wishing to transfer his/her shares must offer them pro rata to the other existing shareholders.
