Dead tree or not? Covered in Black soot?

At the end of last summer we noticed that a tree at the side of our house was full of little black insects the tree is about 20 foot.

Even just touching a branch, they would fall all over your head etc...yuk!

The tree is now almost all black - like soot - never seen anything like it, any ideas on what we need to do about it.

I must tell you that we did not notice anything last year because the tree although on a bit of our land, is on a small private road, and we have to get permission from the owner before we venture out there and is not seen from our house at all - hence only noticing these bugs late in the season.

Any help would be appreciated.
