Personally, I would format the drive and install a fresh copy of Windows XP rather than an upgrade, upgrading from 98 to XP won't be as fast or as reliable as a fresh install. As for the Rundll32.exe, not sure what would be causing it, sounds like the cd isn't being read properly in the CD-ROM drive
